1. Acceptance of Terms
By accessing matply.com or engaging Matply Infotech LLP ("Matply", "we", "our", "us") for any service, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or services.
These terms apply to all visitors, clients, and anyone who accesses or uses our website or engages with our development services.
These terms govern the relationship between Matply and its clients. Individual project engagements will also be governed by a separate Project Agreement or Statement of Work (SOW) which takes precedence over these general terms in cases of conflict.
2. Services Description
Matply Infotech LLP is a custom software and mobile application development company based in Jaipur, Rajasthan, India. Our services include but are not limited to:
- Custom Android and iOS mobile application development
- Cross-platform app development using React Native and Flutter
- Web application and platform development
- Custom software development including ERP, CRM, and SaaS solutions
- AI tools, chatbots, and automation systems
- On-demand application development (booking, delivery, marketplace)
- UI/UX design services
- Post-launch maintenance and support
All services are delivered by our in-house team based in Jaipur. We do not outsource project work to freelancers or third-party development agencies.
3. Client Engagement
All project engagements begin with a discovery call at no cost or commitment. Following the discovery call, we provide a written project estimate including scope, timeline, and cost. Formal engagement begins upon signing a Project Agreement or Statement of Work.
- A Project Agreement or SOW is required before any development work begins
- Scope changes must be agreed in writing and may affect timeline and cost
- We use two-week development sprints with twice-weekly progress updates
- Client review and approval is required at each milestone before proceeding
- You will have access to a staging environment throughout development
Estimated timelines are provided in good faith based on agreed scope. Timeline changes resulting from client-initiated scope changes or delayed approvals are not our responsibility.
4. Payment Terms
Payment structures are defined in the individual Project Agreement. Standard terms:
- An advance payment (typically 30-50% of project cost) is required before work begins
- Milestone-based payments are invoiced upon completion of each agreed milestone
- Final payment is due before delivery of source code and store submission
- Invoices are payable within 7 business days unless otherwise agreed
- Late payments may result in project work being paused
- All prices are quoted in Indian Rupees (INR) unless otherwise stated in writing
- International clients: payment in USD, GBP, or AED as agreed; exchange rates apply at the date of invoice
Payments are non-refundable for work already completed unless Matply has materially failed to deliver the agreed scope. Disputes must be raised within 14 days of the relevant invoice.
5. Intellectual Property
Upon full payment of all agreed fees, the client receives full ownership of the custom code, designs, and deliverables created specifically for their project. The following exceptions apply:
- Third-party libraries, frameworks, and SDKs remain subject to their own open-source or commercial licences
- Matply retains the right to use general knowledge and skills gained during your project for future work
- Matply retains ownership of any proprietary internal tooling or boilerplate code not specifically created for your project
- Pre-existing code or components used in your project are licenced to you, not transferred
We will clearly identify any pre-existing or third-party code used in your project. We do not use proprietary code from other clients in your project.
6. Confidentiality
We treat all client project information, business logic, and data as confidential. We will not disclose confidential information to third parties without your written consent, except as required by law.
We are happy to sign a mutual NDA before any discovery call upon request. To request an NDA, simply mention it when booking a call and we will send the document before the meeting.

- We use secure channels for sharing sensitive project assets
- All team members are subject to confidentiality agreements
- Portfolio case studies require your approval before publication
7. Warranties and Disclaimers
We warrant that:
- Our services will be performed with reasonable skill and care
- Deliverables will materially conform to the agreed specifications in the SOW
- We hold the rights to any original code we create for you
- 3 months of post-launch support is included at no extra cost for bug fixes
We do not warrant that:
- The applications we build will be free of all bugs after the warranty period
- Third-party APIs, services, or platforms we integrate will remain available or unchanged
- App store approvals (Google Play, Apple App Store) will be granted — we assist but cannot guarantee approval
- Specific results (revenue, user growth, business outcomes) will be achieved
8. Limitation of Liability
To the maximum extent permitted by law, Matply's total liability to you for any claim arising from our services shall not exceed the total fees paid by you to Matply for the specific project giving rise to the claim.
We shall not be liable for any indirect, consequential, special, or incidental damages, including but not limited to loss of revenue, loss of data, loss of business opportunity, or any damage caused by third-party services.
This limitation of liability does not apply to claims arising from our gross negligence, wilful misconduct, or fraud.
9. Termination
Either party may terminate a project engagement with 14 days written notice. Upon termination:
- The client pays for all work completed up to the termination date
- Matply delivers all completed work and assets to the client
- No refund is due for advance payments applied to completed work
- Both parties return or destroy the other party's confidential information
Matply reserves the right to immediately terminate an engagement if the client fails to make payment within 30 days of a due invoice, or engages in conduct that is harmful to our team or business.
10. Governing Law
These Terms and Conditions are governed by the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Jaipur, Rajasthan, India.
Both parties agree to attempt to resolve disputes through good-faith negotiation before initiating formal legal proceedings. If negotiation fails, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996 (India).
11. Website Use
By using matply.com, you agree not to:
- Use the website for any unlawful purpose
- Attempt to gain unauthorised access to any part of the website or its infrastructure
- Transmit malware, spam, or harmful code
- Scrape or copy content without written permission
- Misrepresent your identity or affiliation
We reserve the right to restrict access to the website for users who violate these terms. The website is provided "as is" without warranty of uninterrupted or error-free availability.
12. Changes to Terms
We may update these Terms and Conditions at any time. Changes are effective immediately upon posting to matply.com. The "Last updated" date at the top of this page will reflect the most recent revision.
For ongoing project engagements, the terms in effect at the date of your Project Agreement signing apply, unless both parties agree in writing to updated terms.
